I. General

 

1. Lithuanian Radiation Protection Society (LRPS) is a non profit public organization. Its members are citizens of Lithuanian Republic and foreigners, which permanently live in Lithuania, with appropriate university education and work in the field of protection of humans and environment from hazardous influence of ionizing and non-ionizing radiation.

2. The activities of the LRPS are based on Lithuanian Constitution, the Law of Public Organizations and other legislation and this statute.

3. The LRPS is a legal person with its stamp bearing its name and accounts in the banks registered in Lithuanian Republic. For its obligations it bears responsibility with its property. Members do not bear responsibility for obligations of the LRPS, and the LRPS does not bear responsibility for obligations of its members.

4. The address of the LRPS is Kalvarijų 153, Vilnius, the Radiation Protection Centre.

5. The LRPC acts in the whole territory of Lithuania and has not any local branches.

 

II. The objective and tasks

 

1. The main objective of the LRPS is collection and dissemination of knowledge and experience in the field of protection of humans and environment from the hazardous influence of ionizing and non-ionizing radiation.

2. For achievement of this objective the LRPS has the following tasks:

-   co-operation with Lithuanian institutions dealing with radiation protection and use of sources of ionizing and non-ionizing radiation,

-   initiation of new concepts of radiation protection and protection from non-ionizing radiation and discussions on the ones, suggested by international and national organizations,

-   co-operation with international organizations and societies, national radiation protection and other similar organizations,

-   organization of meetings and conferences for discussion of important theoretical and practical problems of radiation protection and protection from non-ionizing radiation,

-   public information about radiation protection and protection from non-ionizing radiation problems, activities of the LRPS, promotion of its objective and tasks,

-   making of official statements on particular problems of radiation protection, if necessary,

-   publications.

3. For achievement of the above mentioned objective and tasks, the LRPS may:

-   freely in oral, written and other forms disseminate information about its activities, promote the objective and tasks of the society,

-   join international organizations if their objectives are not in conflict with Lithuanian Constitution and are similar to the objective of the LRPS, co-operate with similar international and national organizations, establish agreements with them. These agreements shall not be in conflict with Lithuanian Constitution, the Law of Public Organizations and other legislation. The decision about membership in international public organizations is to made by the general conference,

-   establish media means, publish publications,

-   purchase or acquire by other means the required property for activities, use and dispose it,

-   employ persons for activities, listed in the statute,

-   receive financial support and other property from international public organizations, non-governmental organizations, foundations and persons,

-   establish enterprises registered and acting according to the Lithuanian legislation,

-   establish foundations.

 

III. Membership

 

1. The members of the LRPS are regular and honorary (associated) ones. Regular members are adult citizens of Lithuanian Republic and foreigners, which permanently live in Lithuania. They must have the appropriate university education and deal with of protection of humans and environment from hazardous influence of ionizing and non-ionizing radiation. Two recommendations of regular members are needed for membership.

2. The recommendations are not needed for members which are accepted to the LRPS during its founding conference.

3. The title of the honorary (associated) member is given by the general conference for outstanding merits in the field of radiation protection for persons, which do not meet requirements for regular members. Two regular members shall recommend the honorary (associated) member in writing at least three months before the general conference. The recommendation shall be submitted to the board. The honorary (associated) members are not taking part in voting and are exempted from payment of membership duties. The honorary (associated) member is accepted by the general conference by two thirds of votes.

4. Regular members are accepted by the board. This decision of the board shall be approved by the general conference.

5. The regular member can leave the LRPS on his/her own will or may be excluded for activities, which are against the statute of the LRPS. Decision on exclusion for activities, which are against the statute of the LRPS, are made by the board by simple majority of votes. This decision is to be approved by the general conference of the LRPS.

6. The regular members have the following rights:

-   to elect the board and to be elected to the board,

-   to make presentations and take part in discussions during the meetings and conferences of the LRPS,

-   to present drafts on peculiar issues of radiation protection and protection from non-ionizing radiation,

-   to present proposals for improvement of activities of the LRPS,

-   to receive any information about activities of the LRPS.

7. The regular members of the LRPS shall:

-   follow the statute of the LRPS,

-   be actively involved in the activities of LRPS,

-   follow the decisions of general conference and board.

 

IV. Administrative bodies of the LRPS

             

1. The highest administrative body is the general conference. The general conference is arranged by the board once per year. The conference, which makes decisions, is considered effective if more than half of regular members of the LRPS are taking part in it. The decisions are accepted by simple majority of votes. The place and time of the conference is determined by the board not later than one month before the conference. Information on it shall be sent by mail, fax or e-mail to all the regular members. Each regular member has one vote. It is forbidden to vote on behalf of any other regular member even if his/her agreement is available. If numbers of votes are equal, the vote of chairman or acting chairman is decisive.

2. Non-ordinary conferences may be arranged on the initiative of the board or more that half of regular members. In the last case the conference is arranged by the board if it has written applications of more than half of members.

3. The regular members may demand the non-ordinary elections of the board and chairman. These elections are organized on demand of more than half of all the regular members. The board, having received the written demands to re-elect the board or chairman, within 2 months shall arrange the non-ordinary general conference. Information on this conference, its place, time and program is sent to all the members of society not later than one month before the conference.

4. The general conference of the LRPS:

-         approves, changes and amends the statute,

-         approves decisions of the board on exclusion of members of the LRPS whose activities go against the statute,

-         approves decisions of the board on acceptance of new regular members and grants the title of honorary (associated) member,

-         elects the board and chairman,

-         appoints two auditors,

-         defines the amount of membership fee,

-         considers and approves the reports of the board and auditors,

-         makes decisions on membership of the LRPS in international organizations,

-         re-organizes the LRPS and ends its activities.

5. The board and chairman are elected during the general conference. They are elected by open elections for 3 years. The board and chairman are elected for not more than one successive cadency.

6. The board consists of 5 members.

7. The members of board and chairman next time may be elected after not less than 3 years after the end of their cadency. The newly elected board and chairman take all the affairs right after the general conference and deal with matters till other elections.

8. The board is the managerial body of the LRPS, which administrates its activities between general conferences.

9. The board:

-         accepts new regular members and excludes the members whose activities are against the statute of the LRPS,

-         runs finances of the LRPS,

-         prepares the material which shall be presented in the general conference,

-         prepares the report on the activities of the LRPS,

-         co-operates with similar national and international organizations, which have similar aims, and informs the members of the LRPS about it,

-         presents proposals to the general conference about membership of the LRPS in the similar international organizations,

-         considers drafts of statements of the LRPS on different questions of radiation protection, accepts or refuses them and appoints the competent members of the LRPS to publish these statements,

-         appoints members for workgroups for solving of radiation protection and non-ionizing radiation problems,

-         arranges meetings and conferences of the LRPS, prepares their programs,

-         prepares proposals about changes of the statute,

-         appoints the secretary and treasurer.

10. The first meeting of the board is arranged right after the conference, which elected the board. Other meetings are arranged on the initiative of chairman or if written applications are received from minimum of two members. The information about meeting shall be sent not later than one month before the meeting. Decisions of the board may be disseminated by mail, fax and e-mail. The meeting of the board is effective if at least 4 members of board take part in voting. If numbers of votes are equal the decisive vote is the one of chairman or acting chairman.

11. The chairman:

-         represents the LRPS in legal affairs, institutions of state administration, relations with other legal and physical persons in Lithuania and represents the LRPS abroad,

-         initiates the meetings of the board,

-         takes chair in the general meetings,

-         implements decisions of the general conference and board,

-         if necessary appoints the acting chairman,

-         presents the report of the board during the general conference.

12. Secretary:

-         makes arrangements for the meetings and conferences and prepares the report of the board,

-         takes notes of the meetings and conferences,

-         keeps correspondence,

-         not later than one month before the conference sends to members of the LRPS the information on conference and list of scientific papers which are to be presented during the meeting,

-         presents information to members of the LRPS on decisions of board.

13. The treasurer is responsible for collection of membership fee, running of financial affairs according to the decisions of the board, preparation of annual financial accounts and their presentation to the board.

14. The general conference of the LRPS appoints two its members as auditors. Auditors are controlling the administrative activities of the board and checking annual financial accounts. The auditors during the ordinary general conference present their report on the period starting with the last ordinary general conference. Auditors are appointed for three years.

 

V. Funds of the LRPS. Control of their use

 

1. The LRPS may possess buildings, equipment, means of transportation and other property for implementation of its objective and tasks. This property may be purchased for funds of the LRPS, received as a gift or by descent and by other legal means.

2. The funds of the LRPS are:

-   membership fees,

-   funds donated by physical persons, charity foundations and charity organizations,

-   funds donated by non-governmental and international public organizations,

-   interest for funds of the LRPS in credit enterprises,

-   credits,

-   other legal funds.

3. The state administration institutions and municipalities may allocate funds only for peculiar culture, education, health and other programs. These funds may be used only for these programs according to the budget approved by the organizations, which are allocating funds. The account on use of funds must be presented on demand of allocating organization. Confirming documents must be also presented.

4. The funds and property of the LRPS shall be used for the objective and aims given in the statute and can not be given to members by any form.

5. Any funds and other support, which can interfere with objective and aims of the LRPS and make obstacles to members to express their opinion freely, shall not be accepted.

6. The retired members of the LRPS are exempted from membership fee. If the member does not pay the membership fee for more than two year it is considered that he/she left the LRPS.

7. The chairman, members of board, secretary, treasurer and auditors are not paid for their work in the LRPS.

 

VI. Changes and amendments to the LRPS 

 

1. The statute can be changed and amended by the general conference of the LRPS.

2. The written proposal of regular member of the LRPS to make changes of the statute shall be presented to the board not later than 2 months before the general conference. The board at least one month before the general conference shall present its opinion to regular members of the LRPS.

3. If the change of the statute is initiated by the board, this proposal to regular members shall be presented not later than one month before the general conference of the LRPS.

4. Changes of the statute come into force on day of their registration.

 

VII. The end of activities of the LRPS

 

1. The activities of the LRPS are ended by decision of the general conference. Voting is closed. The decision is made by two thirds of votes. The activities may be ended also by decision of competent state authority.

2. All the questions concerning the end of activities of the LRPS are solved by liquidation commission elected by the general conference.

3. The remaining funds and property is used according to the order defined by legislation.

 

                        The statute was adopted by general conference of the LRPS on April 26, 2001.
